Submission does not constitute an unconditional obligation upon EXOPAY to execute or complete the requested action.
Where a transaction becomes technically irreversible, EXOPAY may possess no practical means by which it can subsequently amend, cancel, reverse, or recover it.
Users bear responsibility for verifying material transaction information before authorization.
Charges and Costs
Use of certain services may result in fees, charges, commissions, spreads, processing costs, third-party costs, network expenses, or other amounts.
Applicable charges may vary according to service conditions, transaction characteristics, market circumstances, external infrastructure, jurisdiction, or other relevant considerations.
EXOPAY may revise its fee arrangements subject to applicable requirements.
Availability and Continuity
EXOPAY does not warrant uninterrupted, continuous, error-free, or universally available operation.
Availability may be affected by maintenance, technical failure, upgrades, telecommunications disruption, external networks, cybersecurity incidents, third-party infrastructure, legal requirements, market circumstances, or events beyond reasonable control.
Temporary or permanent interruption shall not, by itself, constitute a breach of these Terms.
External Systems and Third Parties
EXOPAY may interact with, rely upon, or facilitate access to independent third-party infrastructure, networks, processors, service providers, counterparties, or technological systems.
Such parties operate independently.
EXOPAY makes no representation concerning their continuous availability, solvency, security, performance, policies, decisions, or conduct except where expressly stated otherwise.
Security and Risk
EXOPAY may implement administrative, technical, procedural, and organizational safeguards considered appropriate to the nature of its operations.
No electronic, financial, telecommunications, distributed, or internet-based environment can be represented as completely immune from operational or security risk.
Users remain responsible for implementing reasonable safeguards and promptly reporting suspected compromise or unauthorized access.
Monitoring and Review
EXOPAY may undertake monitoring, examination, verification, or review of account and system activity where reasonably necessary to preserve security, enforce these Terms, satisfy legal obligations, investigate irregularities, mitigate risk, or protect legitimate interests.

Restricted Activity
Users shall not employ EXOPAY in connection with unlawful conduct, fraud, impersonation, unauthorized transactions, manipulation, evasion of applicable requirements, interference with technical systems, abuse of promotional arrangements, or any conduct reasonably considered detrimental to EXOPAY or another person.
EXOPAY may decline to process activity presenting unacceptable operational, legal, security, reputational, or compliance risk.
Modification of Services
EXOPAY retains the right to modify, replace, enhance, suspend, restrict, discontinue, consolidate, or otherwise alter any service or functionality where reasonably considered appropriate.
No representation is made that any existing function, interface, service arrangement, feature, or condition will remain permanently available or unchanged.
Intellectual Property
All trademarks, names, logos, software, interfaces, graphical elements, systems, documentation, designs, technologies, content, and other proprietary materials associated with EXOPAY remain vested in EXOPAY or the relevant rights holder.
No proprietary rights are transferred merely through access to or use of EXOPAY.
Unauthorized copying, reproduction, modification, distribution, commercial exploitation, or derivative use is prohibited except where expressly authorized.
Representations
Users represent that information supplied to EXOPAY is materially accurate and that use of EXOPAY shall not violate applicable law, contractual obligations, third-party rights, or these Terms.
EXOPAY may rely upon information and instructions reasonably appearing authentic unless circumstances warrant further examination.
Disclaimer
Services are provided subject to applicable law and the conditions existing at the time of use.
Except where expressly required by law, EXOPAY disclaims implied warranties concerning uninterrupted availability, absolute security, merchantability, suitability for a particular purpose, or freedom from every technical defect.
Nothing herein constitutes a guarantee concerning circumstances beyond EXOPAY’s reasonable control.
Limitation of Liability
To the fullest extent permitted by applicable law, EXOPAY shall not be liable for indirect, incidental, consequential, exemplary, speculative, special, or unforeseeable losses arising from use, interruption, delay, external systems, third-party conduct, unauthorized access, technical conditions, user error, or circumstances outside EXOPAY’s reasonable control.
Nothing in these Terms excludes or restricts liability where exclusion or restriction is prohibited by applicable law.
Indemnification
To the extent legally permissible, users shall indemnify and hold harmless EXOPAY and its applicable officers, representatives, affiliates, contractors, and service providers against claims, liabilities, losses, damages, or expenses arising materially from unlawful conduct, breach of these Terms, misuse of services, infringement of third-party rights, or fraudulent activity attributable to the user.
Restriction, Suspension and Termination
EXOPAY may restrict, suspend, decline, or terminate access where reasonably necessary to safeguard systems, investigate irregularities, enforce contractual requirements, satisfy legal obligations, manage material risk, or protect EXOPAY or its users.
Where immediate action is reasonably required, such measures may be implemented without advance notice.
Termination shall not extinguish rights, obligations, liabilities, or claims accrued before termination.
Compliance With Applicable Requirements
Use of EXOPAY remains subject to laws, regulations, judicial requirements, regulatory obligations, technical rules, contractual arrangements, and other binding requirements applicable from time to time.
EXOPAY may take such measures as it reasonably determines necessary to remain compliant with those requirements.
Force Majeure
EXOPAY shall not be responsible for delay, interruption, failure, or inability to perform resulting from circumstances beyond its reasonable control, including natural events, governmental action, infrastructure failures, telecommunications disruption, cyber incidents, labor disturbances, network failures, or comparable extraordinary circumstances.
Severability
Where any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision shall be interpreted or limited to the minimum extent necessary while the remaining provisions shall continue in full force and effect.
No Waiver
Failure or delay by EXOPAY to enforce any right or provision shall not constitute a waiver of that right or provision, nor prevent its subsequent enforcement.
